Mosiflow Digital Platform – Terms of Service
Effective Date: 29 December 2025
IMPORTANT NOTICE
Please read these Terms of Service ("Terms") carefully. These Terms form a legally binding agreement between you and Mosiflow SURL / Mosiflow Digital Platform ("Mosiflow", "we", "us", or "our"). By accessing or using any Mosiflow service, you agree to these Terms.
If you do not agree, you must not access or use the Services.
1. Acceptance and Legal Capacity

By creating an account, signing a contract, clicking "I Agree", or using the Services, you confirm that:
- You are at least 18 years old or legally authorized to act on behalf of an entity;
- You have the authority to bind the organization you represent;
- You understand and accept these Terms in full.

If you use the Services on behalf of an organization, these Terms apply to that organization, and you assume responsibility for compliance.
2. Scope of Services
Mosiflow provides digital and technology services including, but not limited to:
2.1 SaaS Products
Industry-focused cloud software such as:
- RetailFlow
- RestaurantFlow
- WholesaleFlow
- Manufacturing (MfgFlow)
- LegalFlow
- Other Mosiflow-branded platforms
2.2 AI & Data Services
- AI strategy and transformation consulting
- LLM development and integration
- Automation, analytics, and decision-support systems
- Data labeling and AI training support
2.3 Custom Digital Solutions
- Web, mobile, and cloud application development
- System integration, APIs, and DevOps
Certain Services may be governed by Statements of Work (SOWs), Service Level Agreements (SLAs), or Data Processing Agreements (DPAs), which will prevail in case of conflict.
3. Account Registration and Responsibilities
3.1 Account Accuracy
You agree to provide accurate, complete, and up-to-date information and to maintain its accuracy.
3.2 Account Security
- You are solely responsible for maintaining the confidentiality of credentials;
- All actions performed under your account are your responsibility;
- You must notify Mosiflow immediately of any unauthorized access.
3.3 Multi-Tenant and Data Separation
- Mosiflow operates a multi-tenant architecture;
- Each request is logically isolated using identifiers such as Tenant ID, Company ID, and User ID;
- Customers may not attempt to access data belonging to other tenants.
4. Acceptable Use Policy
You agree not to:
- Use the Services for illegal, fraudulent, or deceptive activities;
- Violate intellectual property, privacy, or data protection laws;
- Reverse-engineer, copy, or exploit the Services;
- Upload malicious code, spam, or harmful content;
- Overload or disrupt system performance.
Mosiflow reserves the right to suspend or terminate access for violations.
5. Fees, Billing, and Taxes
5.1 Pricing
Fees are defined by:
- Public pricing pages;
- Subscription plans;
- Signed contracts or SOWs.
5.2 Billing and Renewal
- Subscriptions are billed in advance (monthly or annually);
- Automatic renewal applies unless canceled before the billing cycle;
- You are responsible for applicable taxes, levies, or duties.
5.3 Non-Payment
Mosiflow may suspend or terminate Services for overdue payments without liability.
5.4 Refund Policy
- SaaS fees are non-refundable, unless required by law;
- Custom project refunds are governed by the relevant SOW.

6. Data Ownership, Privacy, and Security
6.1 Customer Data Ownership
You retain full ownership of all data you upload or generate through the Services.
6.2 Data Processing
You grant Mosiflow a limited license to process your data strictly for:
- Service delivery;
- System maintenance;
- Security and compliance;
- Aggregated and anonymized analytics.
6.3 Data Protection & Compliance
Mosiflow implements reasonable administrative, technical, and organizational safeguards aligned with industry standards.
Customers are responsible for ensuring their own regulatory compliance (tax, labor, health, financial, etc.).
7. Intellectual Property Rights
7.1 Mosiflow IP
All software, architecture, workflows, trademarks, and documentation remain the exclusive property of Mosiflow.
7.2 Customer Custom Development
Ownership of custom-built solutions is defined in the applicable SOW or contract.
7.3 Feedback
Any feedback or suggestions you provide may be used by Mosiflow without obligation or compensation.
8. Service Availability & SLA
- Mosiflow strives for high availability but does not guarantee uninterrupted service;
- Planned maintenance may cause temporary downtime;
- SLAs apply only if explicitly agreed in writing.
9. Third-Party Services
The Services may integrate third-party tools (payments, maps, messaging, cloud providers). Mosiflow is not responsible for third-party failures, policies, or outages.
10. Confidentiality
Both parties agree to protect confidential information and not disclose it without prior written consent, except as required by law.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
Mosiflow does not guarantee that the Services will meet specific business, regulatory, or financial outcomes.
12. Limitation of Liability
To the maximum extent permitted by law:
- Mosiflow shall not be liable for indirect, incidental, consequential, or punitive damages;
- Mosiflow’s total liability shall not exceed the fees paid by you in the preceding 12 months.
13. Indemnification
You agree to indemnify and hold harmless Mosiflow against claims arising from:
- Your misuse of the Services;
- Violation of laws or third-party rights;
- Content or data you provide.
14. Suspension and Termination
14.1 By Customer
You may terminate your account at any time, subject to outstanding fees.
14.2 By Mosiflow
Mosiflow may suspend or terminate access for:
- Breach of Terms;
- Security risks;
- Legal or regulatory requirements.
Upon termination, access to data may be limited after a reasonable retention period.
15. Force Majeure
Mosiflow shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, power failures, internet outages, or government actions.
16. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Burundi, unless otherwise agreed;
- Parties shall first attempt amicable resolution;
- Unresolved disputes shall be settled by binding arbitration in Burundi, under applicable commercial arbitration rules.
17. Changes to These Terms
Mosiflow may update these Terms with prior notice for material changes. Continued use of the Services constitutes acceptance.
